You cannot remove 14000+ employees from a pension plan without putting everyone else in jeopardy. The only winners for sure will be "certain" sharehoders and Milton and friends. Pension liability travels with the ACTS personnel. I am also willing to bet that ACTS personnel are closer to retirement age than the average ACE person, therefore a greater percentage of the pension liability will travel to the new ACTS org. ACTS will have a discount on the selling price for the increased pension liability, unless Milton can get Gerry to have a stupid day and Onex screws up the valuation.
